Terms for using Hermes.
These Terms of Service govern your access to and use of Hermes, operated by Hermes AI. Effective date: April 22, 2026.
1. Company
Hermes is operated by Hermes AI, located at 500 COLLEGE AVE, Swarthmore, PA 19081. If you have questions about these terms, contact team@tryhermes.dev.
2. Acceptance of Terms
By accessing or using Hermes, you agree to these Terms of Service and our Privacy Policy. If you use Hermes on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these terms.
3. Eligibility and Accounts
- You must be at least 13 years old to use Hermes.
- You must provide accurate account and contact information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must promptly notify us if you believe your account has been compromised.
4. Hermes Service
Hermes provides software and AI-powered workflows that help users analyze connected data sources, identify audience segments, draft messages, manage communications, and review related operational activity. Some features may rely on third-party authentication, third-party AI model providers, and third-party email or messaging infrastructure.
Hermes may add, remove, or modify features over time. We may also suspend features or impose limits when necessary for security, stability, legal compliance, or operational reasons.
5. Your Data and Permissions
You may choose to provide Hermes with access to data, content, contacts, communications history, and other information that you want Hermes to process on your behalf. You retain responsibility for that data.
- You represent that you have all rights, permissions, notices, and consents needed to provide data to Hermes and to instruct Hermes to process it.
- You are responsible for the legality, accuracy, quality, and appropriateness of the data and content you submit or connect.
- You are responsible for reviewing AI-generated outputs before using them in customer-facing, business, legal, financial, or other consequential contexts.
6. Acceptable Use
You may not use Hermes to:
- Violate any law, regulation, or third-party right.
- Upload, process, or transmit data that you are not authorized to use.
- Send spam, deceptive communications, unlawful marketing, or malicious content.
- Interfere with or disrupt Hermes, its infrastructure, or other users.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Use Hermes to develop or distribute harmful, abusive, fraudulent, or infringing content or workflows.
7. AI Features and Outputs
Hermes includes AI-assisted features. AI-generated suggestions, classifications, drafts, and other outputs may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for evaluating outputs and deciding whether to rely on, send, publish, or act on them.
We do not guarantee that AI outputs will be correct, available, unique, or fit for any particular purpose.
8. Fees and Payment
Hermes may be offered on an invoice-based pricing model. If you purchase paid access, you agree to pay invoiced fees in accordance with the applicable order, statement of work, invoice, or other commercial terms presented to you.
Unless otherwise stated in writing, fees are non-refundable except as required by law. Late payments may result in suspension or termination of access.
9. Intellectual Property
Hermes and its software, design, branding, interfaces, and related materials are owned by Hermes AI or its licensors and are protected by intellectual property laws. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Hermes.
You retain ownership of the data and content you provide to Hermes. You grant us the rights needed to host, process, transmit, display, and use that data to operate, secure, maintain, and improve the service.
10. Feedback
If you provide suggestions, ideas, or feedback about Hermes, we may use them without restriction or obligation to you.
11. Third-Party Services
Hermes may interoperate with third-party services, including authentication providers, AI model providers, communications providers, and infrastructure providers. Your use of those third-party services may also be governed by their own terms and policies. Hermes AI is not responsible for third-party services we do not control.
12. Suspension and Termination
We may suspend or terminate your access if we reasonably believe you have violated these terms, created security or legal risk, failed to pay applicable fees, or used Hermes in a way that could harm Hermes, other users, or third parties.
You may stop using Hermes at any time. Sections that by their nature should survive termination will survive, including sections relating to payment obligations, intellectual property, disclaimers, liability limits, governing law, and dispute resolution.
13. Disclaimers
Hermes is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Hermes AI disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that Hermes will be uninterrupted, error-free, or secure.
14. Limitation of Liability
To the fullest extent permitted by law, Hermes AI and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to Hermes.
To the fullest extent permitted by law, the total liability of Hermes AI for any claim arising out of or relating to Hermes or these terms will not exceed the greater of (a) the amount you paid Hermes AI in the 12 months before the event giving rise to the claim or (b) $100 USD.
15. Indemnification
You agree to defend, indemnify, and hold harmless Hermes AI and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, judgments, losses, and expenses arising out of or related to your use of Hermes, your data, your content, or your violation of these terms or applicable law.
16. Governing Law and Venue
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or Hermes will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
17. Changes to These Terms
We may update these terms from time to time. If we make material changes, we may post the updated version on this page, update the effective date, or provide additional notice when appropriate. Your continued use of Hermes after updated terms become effective means you accept the revised terms.
